Effective Date: May 2026 | Last Updated: May 2026

Please read these Terms of Service carefully before using the ATEE platform. By creating an account or using our services, you agree to be bound by these terms. If you do not agree, do not use the platform.

1. About ATEE

ATEE Technologies Inc. (ATEE) operates a peer-to-peer rideshare marketplace that connects passengers seeking transportation with independent driver partners. ATEE provides the platform and technology — it does not employ drivers, own vehicles, or directly provide transportation services. All drivers using the ATEE platform are independent contractors.

2. Eligibility

2.1 Passengers

2.2 Drivers

3. The ATEE Marketplace

ATEE operates as a marketplace — passengers propose a fare for their journey, and drivers may accept, decline, or submit a counter-offer. ATEE does not set or guarantee fares. All pricing is determined through agreement between the passenger and driver. Once a fare is agreed upon and a ride is confirmed, both parties are expected to honour the arrangement.

4. Driver Terms

4.1 Independent Contractor Status

Drivers using the ATEE platform are independent contractors, not employees of ATEE Technologies Inc. ATEE does not control the hours drivers work, the routes they take, or the manner in which they provide transportation. Drivers are solely responsible for their own tax obligations, insurance coverage, and compliance with applicable laws.

4.2 Driver Subscription

Drivers access the ATEE platform through a flat monthly subscription fee. This fee provides access to passenger ride requests for the duration of the subscription period. The subscription does not guarantee a minimum number of rides or earnings. Subscription fees are non-refundable except where required by applicable law.

4.3 Driver Earnings

Drivers retain 100% of fares agreed with passengers. ATEE does not deduct commissions from individual fares. Driver earnings are entirely dependent on the fares agreed through the platform marketplace.

4.4 Driver Responsibilities

5. Passenger Terms

5.1 Booking Rides

Passengers may request rides through the ATEE app by entering a pickup location, destination, and proposed fare. Ride confirmation occurs when a driver accepts the passenger's fare or a counter-offer is mutually agreed. Confirmed rides create a binding arrangement between the passenger and driver.

5.2 Passenger Responsibilities

5.3 Seat Sharing

When using the shared seat feature, passengers acknowledge that other passengers may be present in the vehicle. ATEE does not share personal information between co-passengers. Passengers using shared rides agree to conduct themselves appropriately in the presence of other riders.

5.4 Cancellations

Passengers may cancel a confirmed ride prior to driver arrival. Repeated cancellations may result in account review. Cancellation policies specific to scheduled rides will be communicated at the time of booking.

6. Payments

All payments on the ATEE platform are processed through our designated payment provider. By using the platform, you authorize ATEE to charge your payment method for agreed fares and subscription fees. ATEE uses industry-standard encryption to protect payment information. ATEE does not store full payment card details.

All transactions are in Canadian dollars unless otherwise stated. Disputes regarding charges should be directed to contact@rideatee.com within 14 days of the transaction.

7. Ratings and Reviews

Both passengers and drivers are subject to a two-way ratings system following each completed trip. Ratings are used to maintain service quality and safety standards across the platform. ATEE reserves the right to suspend or terminate accounts that consistently receive low ratings or generate safety concerns. Users agree not to manipulate, falsify, or abuse the ratings system.

8. Safety and Conduct

The safety of all platform users is ATEE's highest priority. The following conduct is strictly prohibited on the ATEE platform:

ATEE reserves the right to immediately suspend or permanently terminate any account found to have violated these standards. Serious safety incidents will be reported to the appropriate authorities.

9. Insurance

Drivers are solely responsible for maintaining appropriate vehicle insurance that covers rideshare or commercial transportation use as required under Ontario law and regulations. ATEE strongly recommends that all drivers consult with their insurance provider prior to accepting rides on the platform. ATEE does not provide vehicle insurance coverage for drivers or passengers. Passengers acknowledge that they are entering a vehicle operated by an independent driver and that standard passenger vehicle insurance requirements apply.

10. Limitation of Liability

To the fullest extent permitted by applicable law, ATEE Technologies Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the ATEE platform, including but not limited to personal injury, property damage, or financial loss occurring during or in connection with trips arranged through the platform. ATEE's total liability to any user shall not exceed the amount paid by that user to ATEE in the 30 days preceding the claim.

ATEE is a marketplace technology platform. It is not a transportation carrier and does not assume liability for the acts or omissions of independent driver partners.

11. Intellectual Property

All content, technology, trademarks, and intellectual property associated with the ATEE platform — including the application, website, branding, and data architecture — are the exclusive property of ATEE Technologies Inc. Users may not copy, reproduce, distribute, or create derivative works from any ATEE intellectual property without express written consent.

12. Account Suspension and Termination

ATEE reserves the right to suspend or terminate any account at its discretion for violations of these Terms of Service, safety concerns, fraudulent activity, or conduct that is harmful to other users or the platform. Users may also voluntarily deactivate their account at any time by contacting contact@rideatee.com. Upon termination, your right to use the platform ceases immediately.

13. Governing Law

These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

14. Changes to These Terms

ATEE may update these Terms of Service from time to time. We will notify users of material changes through the app or by email. Continued use of the platform following notification of changes constitutes acceptance of the updated terms. We encourage you to review these terms periodically.
